On June 30, 2025, the Government issued Decree 168/2025/ND-CP on business registration. Among its provisions, the Decree includes regulations on business name registration from July 1, 2025.

Accordingly, business name registration is regulated as follows:
(1) The person establishing the business or the enterprise is not allowed to register a business name that is identical or confusingly with the name of another business registered in the National Database on Business Registration nationwide, except for businesses that have been dissolved or have had a valid decision of the Court declaring the business bankrupt.
(2) The business registration authority has the right to approve or reject the proposed name of the business in accordance with the provisions of law. To avoid business names being identical, confusing and violating the regulations on naming businesses, the opinion of the business registration authority is the final decision. In case of disagreement with the decision of the business registration authority, the person establishing the business or the enterprise can file a lawsuit in accordance with the provisions of the law on administrative proceedings.
(3) Enterprises operating under an Investment License or Investment Certificate (also a Business Registration Certificate) or equivalent legal documents issued prior to July 1, 2015 may continue to use the registered enterprise name and are not required to register a change of enterprise name in case the name is identical or confusingly similar to the name of an enterprise registered in the National Database of Enterprise Registration. Enterprises with identical or confusingly similar names are encouraged and supported to reach mutual agreement regarding voluntary changes to enterprise names. (4) Enterprises are not allowed to use a name that violates the provisions on enterprise naming in the Law on Securities, the Law on Insurance Business, the Law on Credit Institutions and other specialized laws. Therefore, the Enterprise Name must ensure that it is not identical or confusingly similar to the name of another enterprise nationwide, except in special cases. The Business Registration Authority has the right to decide on the enterprise name; if it disagrees with the decision, the enterprise may initiate administrative proceedings in accordance with the law. Enterprises with documents before July 1, 2015 can keep their old names. The naming must also comply with specialized laws such as the Securities Law, Insurance Law, etc.
Decree 168/2025/ND-CP on business registration takes effect from July 1, 2025.
