Based on Section 4, Part II of the Administrative Procedures issued under Decision No. 2915/QD-BTC in 2025, the procedures for notifying the dissolution and dissolution results of innovative startup investment funds at the provincial level from September 15, 2025, are as follows:

(1) Procedure sequence:
- Within 30 days from the date the Investors’ General Meeting decides to dissolve the fund before the expiration of the operating term stated in the fund’s charter; or when the fund management company is dissolved, bankrupt, or its business registration certificate is revoked and the fund’s representative board fails to establish a replacement fund management company within 2 months from the occurrence of the event; or other cases as stipulated in the fund’s charter.
Alternatively, 3 months before the expiration of the operating term stated in the fund’s charter, the fund management company convenes the Investors’ General Meeting to approve the fund dissolution plan.
- Within 7 days from the date the Investors’ General Meeting approves the fund dissolution, the fund management company shall submit the notification dossier (either directly or online via the administrative procedure information system of the provincial People’s Committee) to the provincial business registration authority where the company’s head office is located regarding the fund dissolution.

- The provincial business registration authority is responsible for reviewing the validity of the dissolution notification dossier within 15 working days from the date of receipt.
- If the notification dossier is valid, the provincial business registration authority shall issue a written notice to the fund management company regarding the dissolution and the dissolution results of the innovative startup investment fund using Form No. 08 in the Appendix attached to this Decree (and simultaneously send a copy to the Ministry of Finance for monitoring). If the notification dossier is invalid, the provincial business registration authority shall send a written notice to the fund management company specifying the reasons and requirements for amendment or supplementation (if any).

(2) Method of implementation:
- Direct submission to the provincial business registration authority;
- Online submission via the administrative procedure information system of the provincial People’s Committee to the provincial business registration authority.

+ Fund dissolution notification according to Form No. 04 in the Appendix attached to Decree No. 38/2018/ND-CP;
+ Resolution of the Investors’ General Meeting on the fund dissolution, attached with the plan and schedule for liquidation and distribution of assets approved by the Investors’ General Meeting, clearly stating the principles for determining the asset value on the dissolution date and the liquidation period in accordance with legal regulations, the fund charter, and the valuation handbook; the method of asset distribution to investors and provision of information to investors about the liquidation and asset distribution activities;
+ A written commitment signed by the legal representative of the fund management company taking responsibility for completing all asset liquidation procedures to dissolve the fund.
- In the case of notifying the completion of the dissolution, the dossier includes: Fund dissolution completion notification to the business registration authority where the company’s head office is located according to Form No. 04 in the Appendix attached to Decree No. 38/2018/ND-CP.
